Notice of the making of this Statutory Instrument was published in

I PASCHAL DONOHOE, Minister for Finance, in exercise of the powers conferred on me by sections 10 and 14 of the Migration of Participating Securities Act 2019 (No. 50 of 2019), hereby make the following regulations:

1. (1) These Regulations may be cited as the Migration of Participating Securities Act 2019 (Prescribed Form) (Section 10) Regulations 2020.

(2) These Regulations shall come into operation on the 29th day of January 2020.

2. The form (Form B90), set out in the Schedule, is prescribed for the purposes of section 10(1) of the Migration of Participating Securities Act 2019 (No.50 of 2019).

SCHEDULE

General This form must be completed correctly, in full and in accordance with the following notes

note one This form must be certified by a director or the secretary of the company. This form is a declaration of compliance with all the legal requirements relating to the Migration of Participating Securities Act 2019 . It is a criminal offence pursuant to section 876 of the Companies Act 2014 for a person to knowingly or recklessly deliver a document to the CRO which is false in a material particular.

note two This section must be completed by the person who is presenting Form B90 to the CRO. This may be either the applicant or a person on his/her behalf.

note three In accordance with section 10 (2) of the Migration of Participating Securities Act 2019 the filing of this form shall be accompanied by an affidavit sworn by one or more of the Directors of the participating issuer verifying the statement contained herein. This affidavit will be visible on the company register.
