Summary: The complainant requested information concerning the relationship between the Department of Health (DOH) and Steria in relation to NHS Shared Business Services (NHS SBS). The Commissioner-™s decision is that section 43(1) of the FOIA is not engaged in relation to any of the withheld information. The Commissioner considers that section 43(2) of the FOIA is engaged in relation to some of the withheld information as outlined in the confidential annex. He considers that the public interest in maintaining the exemption outweighs the public interest in disclosing this information. He does not consider that section 43(2) of the FOIA is engaged in relation to the remaining information withheld under section 43(2) of the FOIA. The Commissioner requires the public authority to disclose the information contained within the shareholders-™ agreement, excluding the information identified in the confidential annex, which the Commissioner considers is exempt from disclosure under section 43(2) of the FOIA.
