EXPLANATORY NOTE

(This note is not part of the Regulations)

These Regulations amend the application of section 54 of the Companies Act 2006 (c.46) to limited liability partnerships (LLPs). That section has been applied to LLPs by regulation 8 of the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009 (S.I. 2009/1804) ("the Principal Regulations"). Section 54 as so applied places restrictions on LLPs being registered with names suggesting a connection with government or public authorities.

Article 9 of the Government of Wales Act 2006 (Consequential Modifications, Transitional Provisions and Saving) Order 2009 (S.I. 2009/2958) has amended section 54(1)(a) of the Companies Act 2006 in relation to companies to include reference to the Welsh Assembly Government. These Regulations extend that amendment to LLPs.

An Impact Assessment in respect of the Principal Regulations has been produced and is available electronically at http://www.bis.gov.uk/bbf/llp/page39897.html. Copies are also available from the Department for Business, Innovation and Skills, Corporate Law and Governance Directorate, 1 Victoria Street, London, SW1H 0ET. No Impact Assessment has been produced in respect of these amending Regulations because it is not expected that the amendment will cause any additional costs.
